Distribution & Publishing Agreement

FRESIBLE MUSIC DIGITAL DISTRIBUTION & PUBLISHING AGREEMENT

This Digital Distribution & Publishing Agreement ("Agreement") is entered into between Fresible Music, a brand and service operated under Fresible Technologies Limited ("Fresible Music", "we", "us", or "our"), and the individual, label, rights holder, or entity creating an account or otherwise using the Fresible Music platform ("Artist", "User", "you", or "your").

By creating an account on fresiblemusic.com, submitting content, or using any Fresible Music services, you acknowledge that you have read, understood, and agreed to be legally bound by the terms of this Agreement.

Appointment & Grant of Rights
1. Distribution Appointment
  You hereby appoint Fresible Music as your exclusive digital distribution administrator for the purpose of distributing your authorized sound recordings ("Content") to digital service providers ("DSPs"), streaming platforms, online stores, social media platforms, and partner services worldwide.
2. Rights Granted
  You grant Fresible Music the non-transferable right during the term of this Agreement to:
  1. Reproduce, encode, host, distribute, communicate, publicly perform, monetize, and otherwise exploit your Content digitally;
  2. Deliver your Content, metadata, artwork, lyrics, and related materials to partner platforms;
  3. Collect revenues generated from the exploitation of your Content;
  4. Administer and process takedowns, claims, monetization, and platform-related operations where necessary.
3. Publishing Administration (Optional Service)
  Where you expressly opt into Fresible Music Publishing Administration Services, you additionally authorize Fresible Music to:
  1. Register compositions with collection societies, Performing Rights Organizations (PROs), publishing administrators, and sub-publishers;
  2. Collect publishing-related royalties globally;
  3. Administer composition rights solely for royalty collection purposes.
  Publishing administration is optional and applies only to users who expressly activate the service.
Eligibility & Ownership Warranties
You represent and warrant that:
1. You are at least eighteen (18) years old or possess legal parental/guardian consent;
2. You own or control all rights necessary for the exploitation of the Content;
3. Your Content does not infringe upon any copyright, trademark, publicity, privacy, contractual, or proprietary rights of any third party;
4. All metadata, composer information, ownership splits, and submissions are accurate and complete.
You further warrant that all publishing information submitted shall reflect the legal names of composers/songwriters exactly as registered on official identification or PRO records.
Restricted Content
Fresible Music reserves the absolute right to reject, suspend, remove, or refuse distribution of any Content including but not limited to:
1. Copyright-infringing material;
2. Unauthorized remixes, covers, or derivative works;
3. Artificial intelligence-generated content lacking proper rights clearance;
4. Public domain material falsely represented as original;
5. Misleading, fraudulent, defamatory, hateful, abusive, or illegal content;
6. Sound-alike recordings intended to imitate existing artists;
7. Compilations or mixtapes containing works not fully controlled by you.
Repeated violations may result in permanent account suspension or legal action.
Term & Territory
1. Term
  This Agreement shall commence upon account creation or service usage and shall remain in effect unless terminated in accordance with this Agreement.
2. Territory
  The rights granted herein apply worldwide.
Revenue Share & Payments
1. Revenue Split
  For all eligible revenues collected under this Agreement:
  1. Fresible Music shall retain thirty percent (30%);
  2. You shall receive seventy percent (70%).
  This split applies to:
  1. Distribution royalties;
  2. Publishing royalties (where applicable);
  3. Monetization revenues generated through Fresible Music services.
2. Royalty Reporting
  Royalty statements shall be made available through your dashboard or designated reporting channels. Royalty reporting timelines depend on reporting schedules received from third-party platforms and collection partners.
3. Minimum Payout Threshold
  Payments shall only be processed when your account balance reaches a minimum of ₦50,000 NGN or $50 USD, whichever is lower or equivalent.
4. Payment Schedule
  Eligible payouts are generally processed between the 12th and 16th day of each month.
5. Currency Conversion
  Where applicable, exchange rates shall be determined at the time of payment processing.
Publishing Administration
1. Optional Enrollment
  Publishing administration is not automatic and must be expressly activated by the Artist.
2. Scope of Administration
  Where activated, Fresible Music may collect:
  1. Mechanical royalties;
  2. Performance royalties;
  3. Digital publishing royalties;
  4. YouTube composition royalties;
  5. Synchronization income where applicable.
3. Publishing Warranties
  You warrant that:
  1. You own or control the compositions submitted;
  2. The compositions are not exclusively assigned to another publisher unless disclosed in writing;
  3. All songwriter splits are accurate and agreed upon by all contributors.
4. Publishing Revenue Share
  Publishing royalties collected shall be split:
  1. 70% to the Artist;
  2. 30% to Fresible Music.
Artificial Streaming & Fraud
Artificial streaming, bot activity, playlist manipulation, fraudulent engagement, or any attempt to manipulate platform metrics is strictly prohibited.
Where violations are detected, Fresible Music reserves the right to:
1. Remove affected releases;
2. Suspend or terminate accounts;
3. Withhold royalties;
4. Recover penalties or damages incurred;
5. Report violations to third-party platforms or legal authorities.
You acknowledge that DSP penalties may exceed generated royalties, and you remain financially responsible for damages caused by fraudulent activity associated with your account.
Content Review & No-Refund Policy
1. All submitted Content undergoes internal review and compliance assessment.
2. Due to the nature of digital distribution services, all payments made for reviewed submissions are non-refundable once review has commenced.
3. The review process constitutes a completed professional service irrespective of final approval or rejection.
Takedowns & Content Removal
You may request takedowns at any time. However:
1. Removal timelines depend on third-party platform processing;
2. Takedowns may require up to fourteen (14) business days or longer depending on the platform.
Fresible Music shall not be liable for delays caused by third-party services.
Account Responsibilities
You are solely responsible for:
1. Maintaining account confidentiality;
2. Ensuring accurate banking and payment details;
3. Ensuring all submitted information remains accurate and updated;
4. Activities conducted through your account.
Fresible Music shall not be liable for losses resulting from inaccurate user-provided information.
Audit Rights
1. You may request an audit of royalty records once per calendar year at your expense upon providing thirty (30) days written notice.
2. If an audit reveals an underpayment exceeding ten percent (10%) in your favour, Fresible Music shall reimburse reasonable audit costs.
Intellectual Property
1. Except for the limited rights granted under this Agreement, all ownership rights in and to your Content remain exclusively yours.
2. Fresible Music acquires no ownership interest in your copyrights.
Indemnification
You agree to indemnify, defend, and hold harmless Fresible Music, its affiliates, officers, employees, contractors, and partners from any claims, liabilities, damages, losses, penalties, or legal expenses arising from:
1. Breach of this Agreement;
2. Copyright infringement;
3. Unauthorized submissions;
4. Violations of laws or third-party rights.
Limitation of Liability
To the fullest extent permitted by law:
1. Fresible Music shall not be liable for indirect, incidental, consequential, punitive, or special damages;
2. Fresible Music's maximum liability shall not exceed unpaid royalties owed to you during the affected reporting period.
Termination
Fresible Music may suspend or terminate this Agreement immediately where:
1. You violate this Agreement;
2. Fraudulent activity is detected;
3. Your Content exposes Fresible Music to legal or reputational risk.
Termination shall not affect accrued rights or obligations prior to termination.
Fresible Music may continue collecting royalties earned prior to termination.
Modifications to Agreement
1. Fresible Music reserves the right to amend or update this Agreement at any time.
2. Updated versions shall become effective upon publication on fresiblemusic.com or notification by email.
3. Continued use of the services constitutes acceptance of updated terms.
Governing Law & Jurisdiction
1. This Agreement shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria.
2. Any dispute arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
Entire Agreement
1. This Agreement constitutes the complete understanding between the parties and supersedes all prior communications, agreements, or understandings relating to the subject matter herein.
2. No waiver shall be valid unless made in writing by Fresible Music.
Refer a Friend Program
1. Eligibility & Qualification
  The Refer a Friend program applies to new signups only, attributed solely via a unique referral link containing a ?ref= code. A referred friend receives ₦500 in Fresible Music platform credit when they pay for a Professional or Label plan. You, the referrer, earn ₦500 cash after that friend has a release live in stores.
2. Cash Processing
  Cash rewards may take up to thirty (30) days to process after you qualify. Cash is added to your royalty balance and may be withdrawn in the same manner as royalties, subject to the ₦50,000 minimum payout threshold.
3. Cap
  Cash rewards are capped at ₦15,000 across your first thirty (30) successful paid cash referrals.
4. Credit vs Cash
  Friend credit is platform-only: it is applied at checkout for Fresible Music services and cannot be withdrawn. Referrer rewards are cash credited to your royalty balance.
5. Non-Refundable Referred Subscriptions
  Subscriptions purchased by a referred user (Professional or Label) are non-refundable.
